These Terms of Service ("Terms") govern your access to and use of the Prinalio website (Prinalio.com), our AI conversation intelligence platform and related services (collectively, the "Services") provided by Prinalio ("we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

By creating an account, accessing our website or using our Services, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with all applicable laws and regulations.

2. Description of Services

Prinalio provides tools that capture calls and meetings from supported channels and use AI to generate transcripts, summaries, action items and searchable notes. We reserve the right to modify, suspend or discontinue any part of the Services at any time with reasonable notice.

3. Account Registration

To access certain features you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. Subscription and Payment

Some Services require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase. Fees are billed in advance on a recurring basis unless otherwise stated. We may change pricing with 30 days' notice. Refunds are handled according to the policy communicated at the time of purchase.

You are solely responsible for complying with all applicable laws regarding the capture and processing of conversations, including obtaining any required consent from all participants. You agree to inform participants where required and to use the Services only for lawful purposes.

You retain ownership of all data and conversations you provide or generate through the Services ("Customer Content"). You grant us a limited license to use, process and store Customer Content solely to provide and improve the Services. You are responsible for ensuring you have the rights necessary to submit Customer Content.

8. AI Features

Our AI features provide transcripts, summaries and recommendations based on your conversations. AI outputs are provided for informational purposes and may contain inaccuracies. You should not rely on them as the sole basis for important decisions, and you are responsible for reviewing generated content.

9. Intellectual Property

The Services, including all software, designs, text, graphics, logos and AI models, are owned by Prinalio and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by factors beyond our reasonable control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRINALIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

13. Indemnification

You agree to indemnify and hold harmless Prinalio, its officers, directors, employees and agents from any claims, damages, losses or expenses arising from your use of the Services, violation of these Terms or infringement of any third-party rights.

14. Termination

Either party may terminate the agreement upon written notice. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Services ceases, and we will delete or return your Customer Content according to our data retention policy and your instructions, subject to legal requirements.

15. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Seminole County, Florida.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
